Welcome to the Ready to Ride Challenge, sponsored by Standard Motor Products, Inc. (“SMP”). Participation in this sweepstakes and eligibility for prizes are subject to the following Official Rules by which all entrants are bound upon submission of an entry.

1.         About Sweepstakes:            SMP is providing this sweepstakes to its customers, counterpersons and installers and other persons with a random drawing for valuable prize(s). The allotted number of prizes is set forth below.

2.            Eligibility:          This sweepstakes is open to all legal residents of the United States, who are at least 18 years of age at the time of entry. This sweepstakes is void where prohibited by law. Employees of SMP or its affiliated companies, or immediate family members and/or those living in the same household are not eligible.

3.         General Entry Information:     

·                    This sweepstakes begins on Monday, September 10, 2007 and ends on Friday, December 14, 2007.

·                    Participants can enter as many times as they desire, although a participant can only win one instant prize and one grand prize.

·                    No purchase is required.

·                    All information provided by the participant on the entry forms becomes the property of SMP, and no entry will be returned to entrant.

4.         How to Enter:   Access the Standard or BWD brand site as many times as you desire and follow the instructions on the screens. Participants will be required to answer a limited number of questions and then enter their name, address, city, state, zip code, phone number, email address and business name. You can enter as many times as you want to increase your chances of winning a prize. SMP and its agents are not responsible for misdirected, illegible, incomplete, stolen or garbled, fragmented, or delayed Internet/email computer transmissions or network/ISP/Web site/or Internet accessibility.

5.         Entry via Mail: For those not interested in participating via internet, you may print on plain paper your name, address, city, state, zip code, phone number and email address and mail to: Ready To Ride Challenge, c/o Marketing Department, 37-18 Northern Blvd., Long Island City, NY 11101. No entry submitted by mail will be acknowledged or returned to the entrant. SMP and its agents are not responsible for misdirected, illegible, incomplete, stolen, or undeliverable mail entries.

6.         How the Winner is Chosen:            Within 5 business days of Friday, November 30, 2007 winners for this sweepstakes will be selected in a random drawing from a pool of eligible participants. The odds of winning this sweepstakes depend upon the number of entries received.

7.         Prizes:            There will be one grand prize winner who will receive a Honda ATV All-Terrain Vehicle value not to exceed ($6,000) to be purchased at a local dealership. (Standard Motor Products is not responsible for transporting the ATV from the dealership to the winner’s place of residence.) There will be ten second place winners who will receive a Garmin nüvi™ 350 Portable GPS Navigator valued at ($500).  On a random basis, SMP will award caps as instant prizes to participants, which prize has a nominal value; a participant cannot win more than one instant prize. No prize is transferable, and cash will not be awarded in lieu of stated prizes. If prize substitution becomes necessary due to availability, SMP will award a prize of equal or greater value. SMP will not replace any lost or stolen prize. All monetary values are stated in U.S. dollars.

8.            Notification and Redemption:             Winners of this sweepstakes will be notified via e-mail or by regular first-class mail within 2 weeks of the final drawing. The winners must redeem their prize within 60 days. The notification message will contain a time indicating the last day on which the winner may redeem the prize. Winners will be required to verify his or her identity, including their social security number for tax purposes. Within 14 days of notification, the winner must execute, notarize, and return an Affidavit of Eligibility and Prize Acceptance certifying that they have followed the Official Rules of this sweepstakes. The winner’s failure to comply with these requirements may result in forfeiture of the prize. If a winner does not claim their prize, a second drawing will be held in the same manner as the first and another winner will be chosen.

9.         Terms and Conditions:

·                    The Official Rules are subject to all applicable federal, state, and local laws and regulations. This sweepstake is void where prohibited by law.

·                    Each participant in this sweepstakes warrants that he or she has read these Official Rules, and agrees to be bound by the Official Rules and the decisions of SMP and its representatives.

·                    All federal, state and local income taxes and all surcharges and fees on the prize are the sole responsibility of the winner.

·                    Participant agrees that all information entered is owned by SMP and can be used for any purpose, including publication in other mediums.

·                    Acceptance of the prize constitutes permission for SMP and its agents to use winners name and likeness for advertising and promotional purposes in any media without compensation, unless prohibited by law.

·                    Any dispute relating to this sweepstakes will be resolved by binding arbitration under the laws of the State of New York, and participants agree that he/she is subject to personal jurisdiction in any federal or state court in the State of New York. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this sweepstakes, but in no event attorneys’ fees.

·                    The winner, winner’s agent, successors, heirs and assigns, release SMP and its owner, successors, subsidiaries and assigns from any and all liability associated with this sweepstakes.

10.            Conduct:          SMP reserves the right, in its sole discretion, to disqualify any individual for: (a) tampering with the entry process, the operation of the sweepstakes or the SMP web site or the web sites of any of SMP’s partners; (b) acting in violation of the official rules; or (c) acting with the intent to annoy, abuse, threaten or harass any other person. Any fraudulent attempts to claim prizes or to circumvent the rules or operation of this sweepstakes is a violation of criminal and civil laws, and SMP reserves the right to report such conduct to the appropriate authorities for criminal prosecution and to seek redress to the fullest extent permitted by law.

11.            Indemnification:             BY ENTERING, PARTICIPANTS, THEIR SUCCESSORS AND REPRESENTATIVES, HEREBY RELEASE AND HOLD HARMLESS STANDARD MOTOR PRODUCTS, INC., AND ITS AFFILIATES, PRINCIPALS, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS FROM ANY AND ALL LIABILITY FOR ANY DAMAGES (INCLUDING DIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR INDIRECT DAMAGES), LOSS OR INJURY OF ANY KIND, OR CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY, ARISING FROM OR IN CONNECTION WITH THE SWEEPSTAKES OR ANY PRIZE WON, WHETHER ARISING OUT OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE .

12.            Limitations of Liability: SMP is not responsible for: (i) any incorrect or inaccurate information, whether caused by Web site users or by any of the equipment or programming associated with or utilized in this sweepstakes, (ii) any technical or human error, which may occur in the course of administration of this sweepstakes, or awarding of prizes, (iii) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to or alteration of entries, or (iv) any problems or technical malfunction of any telephone network lines, computer online systems, servers or providers, computer equipment, software, failure of email, or players on accounts of technical problems with traffic congestion on the Internet, including injury or damage to participants, or to any other person’s computer, related to or resulting from participating or receiving materials in this sweepstakes.

SMP reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the sweepstakes, if, for any reason, the sweepstakes cannot operate as planned, due to causes beyond the control of SMP which corrupt or affect the administration, security, fairness, integrity or proper conduct of the sweepstakes, including but not limited to computer viruses, bugs, tampering, unauthorized intervention, fraud, or technical failures.
